Restoration of struck off company
When the company fails to commence its business within a year of its incorporation or those who have not been carrying any business or operation for a period of two financial years or fails to submit yearly returns, the registrar by its own may put the name of the company into Strike Off.Strike Off means removing the name of the Company from the Register of Companies maintained by the Registrar of Companies. It is more like a closure of the company and the company will not be in existence after being Struck Off and cannot perform any operation thereafter.
(1) To recover their overdue sum with interest, creditors of such Companies may start an action.
(2) The Company can be enforced for discharging the Company's liabilities/ obligations, and the liability of every director & officer shall continue.
(3) The Registrar may also recommend the prosecutions of the persons responsible for the non-filing of the documents and returns.
(4) Such a director shall be required to inform the Company concerned about his disqualification even when the disqualification gets removed (under sub-section (2) of section 164) before he is re-appointed or appointed.
